PROFESSIONAL SERVICES AGREEMENT

Credit Funding Readiness & Advisory Services Contract

This Professional Services Agreement (the "Agreement") is entered into as of the date last signed below (the "Effective Date") by and between:

Client: As identified in the Client Information section above.

WHEREAS, the Client desires to engage the Provider for credit consulting, funding readiness assessment, and advisory services; and WHEREAS, the Provider agrees to perform such services in accordance with the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the Parties agree as follows:

SECTION 1: SERVICE PLAN SELECTION

The Client has selected one of the following service packages offered by Credit Plug. The selected plan determines the scope of services, deliverables, and pricing for this engagement.

SECTION 2: SCOPE OF SERVICES

2.1 Base Services (All Plans)

a) Personalized Credit Analysis. A dedicated review of the Client's personal and/or business credit information, including identification of strengths, weaknesses, and areas for improvement.

b) Credit Report Audit. A comprehensive audit of the Client's tri-bureau credit report measured against FICO scoring model best practices, including analysis of payment history, credit utilization, credit age, credit mix, and new credit inquiries. Deliverable: Credit Report Audit Checklist.

c) Credit Funding Readiness Assessment. An evaluation of the Client's preparedness for credit funding rounds with commercial lenders, including verification of business entity standing, beneficial owner public record review, tax compliance assessment, and minimum credit requirement validation. Deliverable: Credit Funding Readiness Assessment.

d) Step-by-Step Action Plan. A detailed, phased remediation and preparation guide outlining the specific steps the Client must complete to satisfy funding readiness requirements. Deliverable: Credit Funding Readiness Action Plan.

e) Financial Statement Templates. Professionally formatted financial document templates including a Personal Financial Statement, Business Debt Schedule, and Profit & Loss Statement.

2.2 Accelerator Plan Additional Services

f) Credit Strategy Implementation. Development and guidance on executing a tailored credit improvement strategy.

g) Primary Research & Underwriting Analytics. Analysis of lender-specific underwriting criteria to identify best-fit funding sources.

h) Direct Lender Matching & Introduction. Introduction of the Client to banks, credit unions, CDFIs, and fintech lenders from the Provider's network.

2.3 Enterprise Plan Additional Services

i) Personal & Business Credit Building. Ongoing guidance for building and strengthening both personal and business credit profiles.

j) Dedicated Account Manager. Assignment of a dedicated account manager as the Client's primary point of contact.

k) Lender Application Submission & Management. Full-service preparation, submission, and follow-up management of funding applications.

l) Ongoing Advisory Support. Continuous advisory services for the duration of the engagement.

SECTION 3: DELIVERABLES

All deliverables remain the intellectual property of Credit Plug and are licensed to the Client for their personal or business use only. Deliverables include: Credit Report Audit Checklist, Credit Funding Readiness Assessment, Credit Funding Readiness Action Plan, Personal Financial Statement, Business Debt Schedule, Profit & Loss Statement, and plan-specific items as outlined in Section 2.

SECTION 4: PAYMENT TERMS AND CONDITIONS

4.1 The total fee for the selected service plan is set forth in Section 1 of this Agreement. Payment is due in accordance with the payment terms specified.

4.2 This Agreement must be signed by the Client prior to the processing of any payment. No services will commence until both this Agreement has been fully executed and payment has been received.

4.3 The Provider accepts payment via credit card, debit card, ACH transfer, wire transfer, or other methods as mutually agreed upon. All payments shall be made in United States Dollars (USD).

4.4 If the Client elects a payment plan, the Client agrees to make all scheduled payments on time. Failure to make a scheduled payment within ten (10) business days of the due date may result in a suspension of services.

4.5 All fees paid are non-refundable once services have commenced, except as otherwise required by applicable law.

SECTION 5: CLIENT RESPONSIBILITIES

The Client acknowledges and agrees to: (a) provide accurate, complete, and truthful information; (b) respond to Provider requests in a timely manner; (c) complete action steps within recommended timelines; (d) authorize the Provider to review credit reports from Equifax, Experian, and TransUnion; (e) refrain from applying for new credit without first consulting with the Provider; and (f) maintain all existing accounts in good standing.

SECTION 6: DISCLAIMERS AND LIMITATIONS

6.1 The Provider is a credit consulting and advisory firm. The Provider is not a law firm, accounting firm, licensed financial advisor, or credit repair organization as defined under the Credit Repair Organizations Act (CROA), 15 U.S.C. § 1679. The services provided constitute educational consulting, strategic advisory, and document preparation services.

6.2 The Provider does not guarantee approval of any credit application, loan, line of credit, or other financial product. Lending decisions are made solely by the applicable financial institution.

6.3 The Provider does not guarantee any specific increase in the Client's credit score.

6.4 The Client is encouraged to consult with a licensed attorney regarding any legal matters and a licensed CPA or tax professional regarding any tax-related matters.

SECTION 7: CONFIDENTIALITY

7.1 The Provider agrees to maintain the confidentiality of all personal, financial, and business information provided by the Client. The Provider shall not disclose such information to any third party without the Client's prior written consent, except as required by law.

7.2 The Client agrees to maintain the confidentiality of all proprietary methodologies, templates, tools, processes, and deliverables provided by the Provider.

SECTION 8: TERM AND TERMINATION

8.1 This Agreement shall commence on the Effective Date and remain in effect until all services have been delivered, or until terminated by either Party.

8.2 Either Party may terminate this Agreement for any reason upon thirty (30) days' written notice. In the event of termination, the Client shall pay for all services rendered through the date of termination.

8.3 The Provider may terminate this Agreement immediately if the Client provides false, misleading, or fraudulent information.

SECTION 9: LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, the Provider's total liability shall not exceed the total fees paid by the Client under this Agreement. In no event shall the Provider be liable for any indirect, incidental, consequential, special, or punitive damages.

SECTION 10: DISPUTE RESOLUTION

10.1 The Parties agree to attempt to resolve any dispute through good-faith negotiation.

10.2 If the Parties are unable to resolve a dispute within thirty (30) days, either Party may pursue binding arbitration administered by the American Arbitration Association (AAA) in Washington, D.C.

10.3 This Agreement shall be governed by and construed in accordance with the laws of the District of Columbia.

SECTION 11: GENERAL PROVISIONS

11.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements.

11.2 Amendments. This Agreement may not be amended except by a written instrument signed by both Parties.

11.3 Severability. If any provision is held invalid, the remaining provisions shall continue in full force.

11.4 Waiver. Failure to enforce any right shall not constitute a waiver of such right.

11.5 Assignment. The Client may not assign this Agreement without the prior written consent of the Provider.

11.6 Notices. All notices shall be in writing and delivered personally, by email with confirmation, or by certified mail.

11.7 Independent Contractor. The Provider is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.

SECTION 12: AUTHORIZATION AND EXECUTION

By signing below, the Client acknowledges that they have read, understand, and agree to all terms and conditions of this Agreement. The Client further acknowledges that this Agreement must be executed prior to the processing of any payment and the commencement of any services.
